Overview
Welcome to Cool Coffee Co.™, Cool Tea Co.™, and Cool Coffee & Tea Co.™ (“we,” “us,” or “our”). We operate this online store and website to provide a curated small-batch coffee and tea shopping experience (the “Services”). Our store is powered by Shopify, which enables secure hosting, checkout, and payment processing.
By accessing or purchasing through the Services, you agree to these Terms of Service (the “Terms”), our Privacy Policy, and our Return & Refund Policy. If you do not agree, please discontinue use immediately.
1) Eligibility & Account Access
- You confirm you are at least the age of majority in your jurisdiction and legally able to enter a binding contract.
- If you create an account, you are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- We are not liable for breaches caused by weak passwords, device compromise, credential sharing, or negligence.
- We may suspend or terminate accounts for fraud, abuse, or violations of these Terms.
2) Products, Made-to-Order & Timing Variance
All food and beverage products are roasted, blended, and packaged to order. Processing and delivery times may vary due to order volume, seasonality, supply availability (e.g., green coffee/tea, flavorings, packaging), carrier capacity, and other factors.
During periods of high demand or limited production capacity, order processing times may be extended. Orders are fulfilled on a first-come, first-served basis, and we reserve the right to adjust fulfillment timelines to maintain product quality and freshness.
If there is an unexpected delay, we may notify you via your preferred contact method on file (email, phone, or other marked notification channels). If we do not receive a timely reply, we may continue processing and ship as soon as materials are available.
Images, colors, and packaging may vary due to display differences, supplier updates, or internal modifications. We may modify or discontinue products without notice.
3) Orders: Offer, Acceptance & Verification
- Placing an order is an offer to purchase. Orders are accepted when payment is processed and we issue an order confirmation.
- We may refuse, limit, modify, or cancel any order at our discretion, including for suspected fraud, unauthorized resale, or errors in availability or pricing.
- We may request additional verification or contact you via any method you provided to prevent fraud or finalize fulfillment.
- All purchases are subject to our Return & Refund Policy.
- In the event of an unexpected fulfillment backlog, we may delay order acceptance or shipment. Customers will be notified if significant delays occur.
4) Pricing, Payment & Billing
- Prices are in U.S. dollars and may change without notice. Unless stated otherwise, prices exclude taxes, shipping, and handling.
- Prices for our products are subject to change at any time without notice due to fluctuations in sourcing costs, exchange rates, shipping expenses, taxes, tariffs, or other factors outside our control. We make every effort to maintain fair and transparent pricing, but reserve the right to adjust prices to reflect changes in production or import costs. Price changes will apply only to future orders and not to confirmed purchases already paid.
- Applicable sales taxes will be calculated at checkout based on shipping destination and current tax law. Customers are responsible for any additional local, state, or federal taxes that may apply.
- You authorize us (and Shopify or payment partners) to charge your selected payment method for the full order amount.
- Promotions and discounts may be subject to their own terms. We reserve the right to correct any typographical, pricing, or system errors and to cancel any orders placed under such circumstances.
5) Shipping, Title & Risk of Loss
- Delivery dates are estimates, not guarantees. We are not responsible for carrier delays, customs processing, weather events, or other circumstances beyond our control.
- Title and risk of loss pass to you when we transfer products to the carrier.
5.1) Service Availability & Maintenance
We may temporarily suspend, disable, or place our store or certain features into maintenance mode for updates, system improvements, or security purposes. Such interruptions may occur without prior notice, though we strive to minimize downtime and restore service promptly. We are not liable for any loss or inconvenience resulting from scheduled or unscheduled maintenance, upgrades, or service interruptions.
6) Subscriptions (Cool Coffee & Tea Club™)
We offer recurring order subscriptions for select products. By enrolling, you authorize recurring charges to your chosen payment method until canceled.
You may pause, modify, or cancel your subscription before the next renewal is processed. Orders that have entered roasting, production, or shipping cannot be canceled or refunded.
You are responsible for managing your subscription, including making any desired changes or cancellations before renewal. We are not liable for charges incurred if you forget or are unable to modify or cancel your subscription in time.
7) Rewards Program (Cool Sips™)
Our rewards program (Cool Sips™) may grant points and exclusive offers. Points have no cash value, are non-transferable, and may be adjusted, suspended, or discontinued at any time. Program rules appear in your account and are incorporated into these Terms.
Refunds or goodwill credits may, at our discretion, be issued in the form of reward points or store credit instead of cash.
8) Print-on-Demand & Merchandise
Certain merchandise (including, but not limited to, apparel, mugs, accessories, and similar items) may be produced on demand by our trusted fulfillment partners. All such items are final sale. Any defects or incorrect items must be reported within seven (7) days of delivery and must include clear photos for review.
9) Wholesale, Resale & Attribution Policy
- No Unapproved Resale or Private Labeling: Purchases are for personal/organizational use only and may not be resold, redistributed, re-packaged, or represented as your own brand without our prior written authorization.
- Competition Use: Coffee or tea products may not be used by cafes, tea shops, restaurants, or similar businesses (including competitors) for commercial sale or service without our prior written consent.
- Attribution Requirement (if authorized): Any approved commercial use must truthfully attribute products as coffee by “Cool Coffee Co.™” and tea by “Cool Tea Co.™” (or “Cool Coffee & Tea Co.™” if supplied as a combined program), with clear on-menu or on-package credit as specified in our authorization.
- Quality & Compliance: Authorized partners must follow our handling, storage, and presentation guidelines and applicable food-safety laws. Authorization may be revoked at any time for non-compliance.
10) Third-Party Services & Integrations
We may use third-party platforms and integrations to operate our store, process payments, manage communications, or enhance customer experience.
These providers maintain their own terms and privacy policies. We are not responsible for their availability, data handling, or functionality. We use trusted providers and take reasonable steps to ensure their reliability, but their actions, reliability, and data practices remain outside our control.
11) Intellectual Property
All trademarks, logos, designs, and site content are the property of Cool Coffee Co.™, Cool Tea Co.™, Cool Coffee & Tea Co.™, or their licensors. You may not copy, reproduce, modify, or use our IP without prior written consent.

12) Communications & Notices
By creating an account or placing an order, you consent to being contacted via any communication method you provide (email, phone, SMS, or platform notifications). We will attempt your preferred contact first but may use alternatives to resolve order, support, or fraud-prevention matters.
- You are responsible for ensuring your contact information is accurate and current to avoid delays in communication or order fulfillment.
13) Feedback, Reviews & User-Generated Content
If you submit reviews, comments, photos, videos, or suggestions through our website, social media accounts, or other feedback channels (collectively, “Content”), you grant Cool Coffee Co.™, Cool Tea Co.™, and Cool Coffee & Tea Co.™ a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from that Content in any media or format, including on social media, our websites, advertising, and promotional materials.
By tagging or mentioning our brands on social media, you consent to our ability to repost, feature, or otherwise share that Content (including modified or reformatted versions, such as reels or promotional collages) provided your privacy settings permit public visibility.
You represent and warrant that you own or control all rights to the Content and that our use will not violate any rights of a third party. You agree not to submit unlawful, defamatory, or harmful material. We may moderate, remove, or decline to use Content at our discretion.
14) Errors & Inaccuracies
We may correct errors, inaccuracies, or omissions (including pricing, descriptions, and availability) and cancel or update orders if necessary, without prior notice, including after an order is submitted.
15) Prohibited Uses
You may not use the Services for unlawful, fraudulent, harmful, or abusive purposes; infringe IP rights; transmit malware; scrape or harvest data; or interfere with security. Violations may result in account suspension, order cancellation, and/or legal action.
16) Disclaimer of Warranties
Except as expressly stated by us in writing, the Services and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, quality, fitness for a particular purpose, and non-infringement. Your use is at your own risk. Some jurisdictions do not allow certain disclaimers; those limitations may not apply to you.
17) Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for indirect, incidental, punitive, or consequential damages (including lost profits, revenue, data, or goodwill) arising from your use of the Services or products. In no event will our aggregate liability exceed the amount you paid for the specific product or service giving rise to the claim.
18) Indemnification
You agree to defend, indemnify, and hold harmless Cool Coffee Co.™, Cool Tea Co.™, Cool Coffee & Tea Co.™, and their affiliates, officers, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or violation of law or third-party rights.
19) Severability
If any provision of these Terms is held unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20) Entire Agreement & Waiver
These Terms, together with policies referenced herein, constitute the entire agreement between you and us regarding the Services. No failure to enforce any provision shall be deemed a waiver of future enforcement.
21) Governing Law & Venue
These Terms and any disputes are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. You agree to exclusive jurisdiction and venue in the state or federal courts located in Medina County, Ohio.
21.1) Force Majeure
We are not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, cyberattacks, supply chain disruptions, labor shortages, acts of government, or transportation failures. In such cases, we will make reasonable efforts to resume operations as soon as possible.
22) Changes to These Terms
We may update these Terms at any time. Material changes will be posted on our website or communicated by other available channels. Your continued use of the Services after changes constitutes acceptance.
